Terms of Service

1. Eligibility and authority

You may use Nymetric Match only for business purposes and must have authority to bind the organisation you represent. No consumer accounts are offered.

2. The service

Nymetric compares a merchant-supplied customer name with a merchant-supplied cardholder name and returns an explainable MATCH, REVIEW or NO_MATCH result with related metadata. The service is decision support: it is not identity verification, proof of identity, a legal identity determination, or a guarantee of fraud prevention or payment verification.

3. Merchant responsibilities

You remain responsible for your use of each result, the legality and accuracy of submitted data, notices to individuals, and your downstream decisions. You must not use Nymetric as the sole basis for a legal or similarly significant adverse decision about an individual. You must not deliberately submit special-category or criminal-offence data unless expressly authorised by written agreement.

4. TEST environment

TEST credentials are for synthetic test data only and must not be used with real personal data. TEST and LIVE credentials must be used only for their intended environment.

5. Accounts and credentials

You must safeguard accounts and API keys, restrict them to authorised personnel, promptly revoke compromised credentials, and notify security@nymetric-match.com of suspected compromise. You are responsible for activity under your credentials except to the extent caused by Nymetric.

6. Acceptable use and limits

You must not misuse, disrupt, probe without authorisation, reverse engineer except where law permits, infringe rights, or use the service unlawfully. Reasonable rate and technical limits may be imposed to protect the service and other customers. There is no contractual availability SLA unless separately agreed in writing.

7. Fees

Fees are those agreed in the applicable order or written agreement. Enterprise invoices are payable within 30 days. Applicable taxes are payable in addition where required. Nymetric is not initially VAT registered.

8. Intellectual property and data

Nymetric owns the service, software, documentation and related intellectual property. You retain ownership of data you supply. You grant Nymetric the limited rights necessary to process that data to provide, secure and support the service.

9. Confidentiality

Each party will protect the other's confidential information using reasonable care and use it only to perform or exercise rights under the agreement, subject to customary exceptions and lawful disclosure requirements.

10. Data protection and subprocessors

Our Data Processing Agreement applies where Nymetric processes personal data for you. Our current subprocessors are listed in the Subprocessor Notice.

11. Suspension and termination

We may suspend access where reasonably necessary for security, abuse, material misuse or material breach. Termination rights are set by the applicable order or written agreement. Following termination, operational data will normally be deleted within 90 days where applicable, subject to backups and data retained for legal obligations or claims.

12. Disclaimers

Unless expressly agreed, the service is provided without a service availability commitment. Results depend on the supplied names and deterministic rules and may contain false positives or false negatives. You must apply appropriate review and controls.

13. Liability

Subject to liabilities that cannot lawfully be limited or excluded, the intended aggregate liability cap is the fees paid or payable for the service during the 12 months preceding the event giving rise to the claim. Neither party is intended to be liable for indirect or consequential loss where exclusion is lawful.

14. Governing law

These terms and non-contractual obligations arising from them are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction.

15. Changes and notices

Material changes will be communicated reasonably. Contractual notices may be sent to legal@nymetric-match.com, subject to any notice method in an order or written agreement.
